Due Diligence
Due-diligence is particularly required in the case of acquisitions. This includes:
  • a preliminary review of regulatory and legal aspects of the business to be acquired as well of the transaction
  • a review of the business environment (sector, competition), based on existing and reliable data (marketing reports and other documentation)
  • a preliminary technical review (visit of sites, preliminary assessment of technology)
  • a financial review, based on audited and pro-forma accounts and other financial accounts
  • a review of forecasts and strategy.

We undertake and organize interviews with the key managers

We coordinate and liaise between different experts such as lawyers, auditors, technical specialists.

Based on the results of the due-diligence we re - appraise the financial statements in order to reflect the economics of the business.

We then build the business case and the financial model, in a view of determining the economic value of the target
